Terms of Service.

01Who we are, and what you are agreeing to

ScribeLM™ is made by Arivo Labs Ltd ("we", "us"), a company registered in England and Wales. You can reach us at hello@scribelm.app.

These terms are an agreement between you and Arivo Labs Ltd. They cover the ScribeLM desktop app, the mobile apps, this website, and the Sync subscription. By installing the app or creating a Sync account, you accept them. To create a Sync account you must be at least 13 years old and legally able to enter into this agreement; the app itself has no account and no age gate, because it collects nothing.

02Your licence to use the app

We grant you a free, personal, non-exclusive, non-transferable licence to install and use the ScribeLM app on devices you own or control. Personal, educational, and commercial use are all included; there is no separate business licence to buy.

In return, you agree not to: sell, rent, or redistribute the app as your own; remove or alter its copyright and licence notices; use the ScribeLM name or logo in a way that suggests we made or endorsed something we did not; or use the app or Sync in violation of the law. The app is licensed, not sold, and the software and its design remain ours. Open-source components inside the app remain governed by their own licences, which are included with the app.

03Your notes are yours

Everything you write, import, record, or generate in ScribeLM belongs entirely to you. We claim no rights over your content, need no licence to it, and never see it. The app stores your notes as ordinary files on your own computer, readable with or without ScribeLM. No feature of the app locks your work to us.

04AI features

ScribeLM's AI features, whether running on your device or through a service you connect, produce suggestions, summaries, answers, and study material generated by statistical models. They can be wrong, incomplete, or misleading. They are not medical, legal, financial, or other professional advice. Review anything important before you rely on it, and you remain responsible for what you do with the output.

05Your own AI and search keys

If you connect a cloud AI provider or a web search service using your own key, your contract for that service is with that provider, under their terms and prices. Requests travel directly from your device to them and never pass through us. Your keys are stored in your operating system's secure credential store. We are not responsible for those services, their output, or their availability.

06Plugins

Plugins run in an isolated environment, can only reach folders you grant, and cannot reach the internet. Verified plugins from the built-in gallery are checked for integrity, but plugins remain the work of their authors, not us. If you choose to install an unsigned plugin after the warning the app shows, you do so at your own risk. We may remove a plugin from the gallery at any time.

07Sync, the service

Sync is our optional subscription that carries your notes between your devices through our servers, end-to-end encrypted. It is the only part of ScribeLM that involves an account or a payment. Sync is intended for one person's own notes; we may apply fair-use limits to storage or traffic, and if we ever need to, we will say so clearly and with notice.

08Buying Sync

Sync costs $39 a year or $3.99 a month, purchased on this website. Payments are handled by Paddle, our merchant of record: your contract of sale is with Paddle, and billing, receipts, taxes, currency conversion, refunds, and any statutory cancellation rights are handled through Paddle's buyer terms. Subscriptions renew automatically until cancelled. You can cancel at any time and keep Sync until the end of the period you paid for. If prices change, the change applies from your next renewal, never mid-period, and we will tell you by email first.

09Your account

A Sync account needs a working email address, which must match the one used at checkout. Keep your password, two-factor codes, and recovery codes safe; you are responsible for activity on your account, and you should tell us immediately at hello@scribelm.app if you believe someone else has access. You can see every signed-in device in the app and revoke any of them. Sensitive actions, such as deleting the account, require two-factor confirmation.

10Your password

Your Sync data is encrypted on your devices with keys derived from a password that only you hold. We cannot read your synced notes, and we cannot recover them if the password is lost. If you forget it, you can set a new one from any device that is still signed in, and nothing is lost. If no signed-in device remains, a security reset erases the encrypted copies on our servers so you can start Sync afresh; the notes on your own devices stay untouched. You accept that this design, which is what makes your notes unreadable to us, also means we genuinely cannot unlock them for you.

11When a subscription ends

If your subscription ends, for any reason, the notes already on your devices stay there in full; only the syncing of new changes stops. We may delete your encrypted data from our servers after a subscription has lapsed for 90 days, and we warn you by email before that happens. Because that data is encrypted with your password, deleting it never touches the copies on your devices. If you delete your account, the encrypted data is removed promptly.

12Acceptable use

Don't use ScribeLM or Sync to store or distribute material that is illegal, to infringe others' rights, to attack, probe, or overload our services, to interfere with other customers, or to resell or white-label the service. We may suspend or close Sync accounts that do, after warning you and giving you a chance to put it right where that is reasonable; for serious abuse we may act immediately. Because your data is encrypted, we cannot and do not inspect the contents of what you sync.

13Updates and availability

We update the app regularly and may add, change, or retire features; release notes say what changed. We work to keep Sync available and use commercially reasonable efforts to do so, but we do not promise uninterrupted service, and maintenance sometimes requires short pauses. The app itself never needs our servers to work.

14Ending this agreement

You can stop using ScribeLM at any time; nothing expires locally, and your files remain yours and readable. You can delete a Sync account at any time in the app. We may end or suspend a Sync account if you materially breach these terms and, where the breach can be put right, have not done so within 14 days of our notice. If we ever discontinue Sync entirely, we will give at least 90 days' notice and refund the unused part of what you have paid.

15No warranty

ScribeLM and Sync are provided as they are and as available, without warranties of any kind, express or implied, including fitness for a particular purpose. We do not warrant that the software is error-free or that Sync will be uninterrupted. This does not affect warranties and guarantees that the law gives you as a consumer and that cannot be excluded.

16Liability

To the fullest extent the law allows, we are not liable for indirect or consequential losses, lost profits, or loss of data arising from your use of the app or Sync, and our total liability under this agreement is limited to the amount you paid us for Sync in the twelve months before the claim. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded, and nothing reduces your statutory rights as a consumer.

17Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living elsewhere, you keep the protection of any mandatory rules of your own country and the right to bring proceedings there.

18The small print about the small print

If part of these terms turns out to be unenforceable, the rest still stands. A delay in enforcing a term is not a waiver of it. Neither of us is responsible for failures caused by events genuinely beyond our control, except that this never affects payments already owed. We may transfer this agreement to a successor of our business; you may not transfer your account to someone else. These terms, together with the privacy policy and Paddle's buyer terms for purchases, are the whole agreement between us. Notices from us come by email or in the app's release notes.

19Changes and contact

If these terms change materially, we will announce it in the app's release notes, and by email if you hold a Sync account, before the change takes effect. Continued use after that date means the new terms apply. Questions, complaints, and notices: hello@scribelm.app.
